PLEASE READ THESE TERMS OF USE CAREFULLY. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE.

This is a brief summary of our most important terms. The full terms that you agree to follow below this summary are legally binding.

10% Platform FeeSellers are charged a 10% fee on all transactions.

1. Definitions

  • "Service" refers to the website, applications, and all related services provided by StudPilot, Inc.
  • "User," "you," "your" refer to any individual accessing the Service, including Buyers and Sellers.
  • "Buyer" is a User who purchases a stud service.
  • "Seller" is a User who lists a stud service for sale.
  • "Content" means all text, images, information, or other materials submitted by Users.
  • "Order Completion" occurs when payment is released to the Seller, either through manual confirmation by the Buyer or automatic confirmation by the Service.

2. Scope of Service and Role of StudPilot

StudPilot provides a technology platform that acts as a neutral venue to connect Buyers and Sellers. We are not an auctioneer, breeder, or party to any transaction. We do not own, inspect, or endorse any of the canines or services listed.

Our Service may include features that utilize your approximate location to facilitate location-based search results. By enabling location services in your browser or device, you consent to the collection and use of this data for the purpose of enhancing your search experience. We do not track your precise real-time location.

3. User Accounts and Obligations

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Compliance with Laws

You are responsible for understanding and complying with all applicable local, state, federal, and international laws and regulations regarding animal breeding, welfare, and commerce.

Listing Archiving and Data Retention (Soft Delete)

When you initiate the deletion of a stud listing from your account, StudPilot employs a "soft delete" mechanism. This means your listing will be:

  • Immediately removed from public visibility and search results on the platform.
  • No longer available for new transactions.
  • Retained in our internal systems for a period of time. This retention is necessary for operational purposes (e.g., maintaining records of past transactions, dispute resolution) and to comply with legal and regulatory obligations.
  • Permanently deleted from our systems upon request, subject to our Privacy Policy and any overriding legal or operational requirements.

On-Platform Communication Requirement

For your safety, dispute resolution, and to ensure the integrity of our marketplace, all communication regarding stud services, bookings, transactions, or any related inquiries must occur **exclusively through StudPilot's provided messaging system.**

  • You agree not to exchange personal contact information (e.g., phone numbers, email addresses, social media handles) or solicit off-platform communication or transactions with other users encountered through the Service.
  • Any attempts to circumvent the platform's messaging system or transact off-platform may result in immediate account suspension or termination, and forfeiture of any related funds.

4. Terms for Buyers

Due Diligence

You acknowledge that you are solely responsible for your own due diligence. This includes carefully reviewing all listing information, communicating with the Seller, and satisfying yourself as to the health, quality, and legitimacy of any stud service before making a purchase.

Payment and Service Confirmation

  • You agree to pay the full service price at the time of purchase.
  • For non-shippable services (e.g., natural service), payment will be held securely by StudPilot until the Seller confirms the service has been completed and you have acknowledged successful receipt of the service, or until an automatic completion period elapses.
  • You agree that if you do not manually confirm delivery or completion of service within three (3) calendar days from when the seller marks the order as shipped/service started, the order will be automatically considered "Completed," and funds will be released to the Seller.

5. Terms for Sellers

Content and Listing Responsibility

You are solely responsible for all Content you submit. You represent and warrant that you own or have the necessary rights to all your Content and that its use does not violate any laws or third-party rights. By posting Content, you grant StudPilot a worldwide, non-exclusive, royalty-free license to use, copy, display, and distribute your Content in connection with the Service.

Service Fulfillment and Confirmation

  • For non-shippable services, you are responsible for communicating with the Buyer to arrange and confirm service dates.
  • You agree to mark the service as "shipped" or "service started" promptly after the service has commenced or product dispatched. This action initiates the Buyer's confirmation period for payment release.
  • You acknowledge that payment for non-shippable services will be held until the Buyer confirms completion or the automatic completion period elapses.

False Confirmation & Penalties

Rescheduling Policy: If a natural service date is rescheduled, it is the responsibility of both the Stud Owner and Dam Owner to communicate this change via StudPilot's messaging system. While the platform aims to facilitate the agreed-upon date, the "Mark Service Performed" button should still only be clicked truthfully on the actual day the service is rendered.

6. Payments, Refunds, and Disputes

Cancellations Prior to Shipment

A Buyer or Seller may cancel an order for a full refund at any time before the Seller has marked the order as "Shipped".

Limited Refund Policy

For a Completed Order, a refund may only be requested within fourteen (14) calendar days from the date of Order Completion. This 14-day window applies to refunds initiated by the Seller or by a StudPilot administrator. After this 14-day period, all sales are considered final and non-refundable through the Service.

Disputes and Administrative Intervention

StudPilot has the right, but not the obligation, to mediate disputes between Users. We may, at our sole discretion, investigate a dispute and take action, including issuing a refund subject to the 14-day policy above. Any decision made by StudPilot in such cases is final and binding.

Cancellations Prior to Shipment/Service Start

A Buyer or Seller may cancel an order for a full refund at any time before the Seller has marked the order as "Shipped" or "Service Started".

Limited Refund Policy

For a Completed Order (where payment has been released to the Seller), a refund may only be requested within fourteen (14) calendar days from the date of Order Completion. This 14-day window applies to refunds initiated by the Seller or by a StudPilot administrator. After this 14-day period, all sales are considered final and non-refundable through the Service.

Disputes and Administrative Intervention

StudPilot has the right, but not the obligation, to mediate disputes between Users. We may, at our sole discretion, investigate a dispute and take action, including issuing a refund subject to the 14-day policy above. Any decision made by StudPilot in such cases is final and binding.

7. AI Assistant

Purpose and Limitations

Our AI Assistant (chatbot) is designed to provide information based solely on the data available within a specific stud listing. It is a tool for convenience and should not be considered a substitute for direct communication with the Seller or professional veterinary advice.

No Guarantee of Accuracy

While we strive for accuracy, the AI's responses are generated automatically and may contain errors or misinterpretations. You are responsible for verifying all critical information with the Seller before making a purchase.

Prohibited Use

You may not use the AI Assistant to generate harmful, unethical, or misleading content. All interactions with the AI are subject to our general content and conduct policies.

8. Intellectual Property

Our Content

The Service and its original content (excluding Content provided by you), features, and functionality are and will remain the exclusive property of StudPilot, Inc. and its licensors. Our trademarks may not be used in connection with any product or service without our prior written consent.

Your Content

You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third-party posts on or through the Service.

9. Dispute Resolution

Informal Resolution

We encourage you to contact us first to seek a resolution to any dispute. Most user concerns can be resolved quickly and to the user's satisfaction by emailing our support team.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Indiana, United States, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in Marion County, Indiana for any actions for which we retain the right to seek injunctive or other equitable relief.

You agree to defend, indemnify, and hold harmless StudPilot, Inc. from any and all claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of the Service, your violation of these Terms, or your Content.

13. Governing Law

These Terms shall be governed by the laws of the State of Indiana, United States, without regard to its conflict of law provisions.

14. Modification of Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes. By continuing to use our Service after revisions become effective, you agree to be bound by the revised terms.
